Do you have other version of the .NET framework on the machine? If no, then before trying to install the framework please check if there is a mscoree.dll in the system32 directory. If there is one, then rename it. The retry the installation.

Если до этого .NET уже ставили -- поищите mscoree.dll в папке system32, и удалите его вручную -- он не анинсталлится коррекно
